1. Agreement
These Terms of Service ("Terms") form a binding agreement between you ("User", "you") and Uploadify ("Uploadify", "we", "us"), the operator of https://uploadify.org/. By creating an account, uploading any file, or purchasing any storage plan, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and our Refund Policy. If you do not agree, you may not use the Service.
2. The Service
Uploadify is a cloud file-storage and content-delivery service that allows registered users and guest users to upload, store, share, and download digital files via permanent URLs and a REST API. Storage capacity, retention period, and bandwidth allowances are determined by the plan you select at /plans.
3. Eligibility & Accounts
- You must be at least 13 years old, and at least the age of majority in your jurisdiction, to create an account.
- You agree to provide accurate, complete information at registration and to keep it current.
- You are responsible for safeguarding your password and any API key issued to your account. You are liable for all activity under your credentials.
- You must promptly notify us of any unauthorized use at info@uploadify.org.
4. Plans, Pricing & Billing
- Plan prices are denominated in US Dollars and displayed on the Plans page. Local taxes may apply at checkout.
- Payments are processed by Lemon Squeezy Inc. (Merchant of Record) or by direct bank transfer. By purchasing, you authorize the relevant processor to charge the payment method you provide.
- Plans are prepaid for the term you select (3 days to 4 years). Plans do not auto-renew unless explicitly stated at checkout.
- If your plan expires and is not renewed, all files associated with the account will be queued for deletion in accordance with our retention policy (Section 9).
- Free-trial users receive 5 GB storage with 3-day retention and no payment.
5. Refunds
Refund eligibility, the request procedure, and timelines are described in full in our Refund Policy, which is incorporated into these Terms by reference.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with our Acceptable Use Policy. Violations may result in immediate suspension, deletion of your files, and termination of your account without refund.
7. Your Content
- You retain all ownership rights in the files you upload ("Your Content").
- You grant Uploadify a worldwide, royalty-free, non-exclusive license to store, transmit, transcode, cache, and deliver Your Content solely for the purpose of operating the Service on your behalf.
- You represent and warrant that you own Your Content or have all necessary rights to upload and share it.
- We do not pre-screen Your Content. However, we reserve the right to remove any content that violates these Terms or applicable law.
8. Intellectual Property
All rights, title, and interest in the Service software, branding, designs, documentation, and trademarks remain the exclusive property of Uploadify and its licensors. These Terms grant you no rights in our intellectual property other than the limited right to access and use the Service.
9. File Retention & Plan Expiration
Files are retained for the duration purchased. When a plan expires, files enter a 7-day grace period during which the account holder may renew. After the grace period, files are permanently deleted and cannot be recovered. We send expiration reminders at multiple intervals before deletion.
10. Termination
You may close your account at any time by emailing info@uploadify.org. We may suspend or terminate your account, with or without notice, if you breach these Terms or our Acceptable Use Policy, or if continued service would expose us to legal or operational risk. Upon termination, your right to use the Service ends immediately and your files may be deleted.
11. Disclaimers
The Service is provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Uploadify disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that files will be permanently preserved beyond the retention period of the active plan.
12. Limitation of Liability
To the fullest extent permitted by law, Uploadify, its officers, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue, arising from or in connection with your use of the Service. Our aggregate liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless Uploadify and its operators from any claim, demand, loss, or expense (including reasonable legal fees) arising from (a) Your Content, (b) your use of the Service, or (c) your violation of these Terms or any applicable law.
14. Changes to the Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date and, where significant, notified by email. Continued use of the Service after a change constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws applicable at the registered address of Uploadify's operator. Any dispute shall be brought exclusively before the competent courts of that jurisdiction, except where applicable consumer-protection law mandates otherwise.
